• Several private equity firms, including Bain Capital, Advent International, KKR, EQT, and Permira, are reportedly interested in acquiring a stake in speciality chemicals manufacturer Rossari Biotech Ltd. This potential ownership change comes more than five years after the company's successful IPO in July 2020.
• Rossari Biotech's stock has experienced a significant decline, losing nearly two-thirds of its value from its all-time high in October 2021 and is down over 28% year-to-date. The company currently has a market capitalization of approximately Rs 3,330 crore ($370 million).
• The promoters of Rossari Biotech, who collectively own 68.17% of the company, are considering diluting a majority stake, with Goldman Sachs reportedly assisting in finding potential buyers. If a majority stake is sold, the acquiring PE firm would need to make an open offer to public shareholders for up to 26% of the company.
• While Rossari Biotech's EBITDA has more than doubled since its IPO, its net profit has increased by about 70%, and its revenue has nearly tripled. However, key efficiency and profitability metrics like return on net worth and return on capital employed have worsened over the past five years.
